Notification to customers

Standard reporting.

On voluntary and mandatory events, CBL informs customers on an "as and if received" basis.

Instruction to CBL

Customers may instruct CBL to carry out options foreseen in the terms and conditions of the underlying type of security. These options include, but are not limited to, put options, conversions, exercises of warrants, exchanges, detachment of warrants etc.

Customers are requested to instruct within the deadlines and/or procedures specific to each type of event. In the absence of instructions from its customer, CBL will apply a "default option", which may differ for each type of event.

Sale and purchase of rights

Please refer to the document Sale and Purchase of Rights.

Note: Any instruction to sell or buy securities as part of a corporate action must result in a countervalue of at least SEK 300. Any instruction where the countervalue is less than SEK 300 will be rejected by the depository and customers will have to arrange for the trade separately.

Proxy Voting procedures

Proxy voting services are available in CBL for this market.

Customers that want to vote at general meetings (physically or by proxy) must instruct CBL to temporarily register their shares in the name of the beneficial owner before the general meeting's record date as defined by the respective company. Once registered under its name, the beneficial owner must keep the securities over record date.

CBL’s depository, SEB, offers the following registration services:

  • Voting rights registration in the register of shareholders in all Swedish limited companies registered in the VPC system, provided that such registration is possible according to VPC's procedure for voting rights registration.
  • Representation is also possible for all general meetings in Swedish limited companies that are held in Sweden.

These services have the following restrictions:

  • Voting services are limited to Swedish Large Cap and Mid Cap companies listed in the Nasdaq Stockholm AB.
  • Agenda and or representation to other meetings, such as Swedish Small Cap or First North companies listed on Nasdaq Stockholm AB, or companies listed on the Nordic Growth Market NGM AB, will be offered upon request and will entail an additional charge applied by CBL’s depository.

For further details of the procedure for re-registration and voting, please refer to the Market Profile - Sweden.

For details about the proxy voting services offered by CBL, please refer to the CBL Customer Handbook.
