auto.de AG: Conversion to registered shares and inclusion in CASCADE-RS
The bearer shares of auto.de AG (ISIN DE000A2P2N48) will be issued as of
1 November 2021
into registered shares of auto.de AG (ISIN DE000A3E5EC4) and included in CASCADE-RS.
Creation of the holdings in registered shares
The creation of holdings in registered shares on the conversion date will be carried out by CBF in standard processing on 29 October 2021 with a value date of 1 November 2021 on the custody book holdings and on the holdings of open stock exchange transactions (delivery holdings).
The creation of the holdings in the registered shares of auto.de AG shall take place in the free reporting portfolio (FMB). Order placement in CASCADE-RS is possible from 1 November 2021.
Stock exchange transactions and securities transfers in the registered shares of auto.de AG will be processed for the first time on 1 November 2021.
The securities orders with offsetting in the CASCADE order book will be converted. If securities orders without offsetting are marked with the match status "J", they will also be converted.
In order to ensure a smooth settlement process, manual conversion by customers, especially of matched orders with countervalue netting, must be avoided at all costs. The automatic conversion of securities orders with offsetting into the ISIN of the registered shares will be carried out by CBF in standard processing on 29 October 2021. Changes and deletions of orders in the ISIN of the bearer shares are possible at any time until the automatic conversion. It is recommended to set orders in the ISIN of the registered shares only as of 1 November 2021.
The unmatched securities orders free of payment in the CASCADE order book will be automatically deleted by T2S after 20 banking days and must be re-set in the registered shares by the participants if necessary.
Notification of shareholders in the share register
The registration of shareholders in the share register of the issuer is done by the custodian banks via transcription in CASCADE-RS using the transcription type "2" ("other not from purchase"). Instructions on how to report shareholders in the share register can be found in the "Guideline for Banks on Entering Shareholder Data in CASCADE-RS" (CBF Client Notice RS137 of 9 December 2007).
The share register is kept by CAPTRACE GmbH.
Note on submission planning
Due to the processing capacities in CASCADE-RS, submissions in excess of 10,000 rewrites per transfer must be coordinated in advance with the Client Service. Clearstream Banking reserves the right to reject non-coordinated file transfers as part of the overall coordination.
For rewrites forwarded during the period from 1 November 2021 to 5 November 2021, CBF will charge a reduced price of €0.30 per item.
CBF's customers will receive a corresponding refund at the end of the aforementioned period.
