Second voluntary public takeover offer by Nidda Healthcare Holding AG to the shareholders of STADA Arzneimittel AG

Details on the exchange procedure for the STADA Arzneimittel AG registered shares (ISIN DE0007251803) will be published in Wertpapier-Mitteilungen (a gazette with securities announcements).

Exchange in "STADA Arzneimittel AG registered shares submitted for sale"

The transfer will take place via a securities transfer (CASCADE-Transaction: KVEE WE) by indicating "4 – Originalaktien in Anrechte" in the "TR" field. These transfers are only possible from the unregistered positions (FMB). The shares must therefore be transferred in advance via a position transfer (CASCADE-RS transaction: KVEE BV) into the unregistered positions.

The exchange will be possible in the period from

19 July 2017 to 16 August 2017 inclusive.

The "STADA Arzneimittel AG registered shares submitted for sale" (ISIN DE000A2GS5A4) will be issued as registered securities. The certificates resulting from the exchange described above will be allocated to the unregistered positions.

There is a follow-up transfer period up to 18 August 2017.

Registration of shareholders via re-registration

The shareholders of the "STADA Arzneimittel AG registered shares submitted for sale" (ISIN DE000A2GS5A4) must be recorded in the company's share register. Corresponding re-registrations (KVCU) may be performed by the depository banks in CASCADE-RS starting 19 July 2017.

Information on submission planning

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be arranged in advance with Client Services. Within the scope of overall coordination, Clearstream Banking¹ reserves the right to reject file transfers that have not been arranged in advance.
