VIB Vermögen AG: Conversion to registered shares and inclusion in CASCADE-RS

The bearer shares of VIB Vermögen AG (ISIN DE0002457512) will be converted on

16 September 2019

into registered shares of VIB Vermögen AG (ISIN DE000A2YPDD0) and included in CASCADE-RS.

Creation of holdings in registered shares

The creation of registered share positions on the relevant conversion date will be carried out by CBF¹ in the standard processing on 13 September 2019 for value date 16 September 2019 on the custody account balances and positions of pending stock exchange trades.

The positions in the registered shares of VIB Vermögen AG are created in unregistered positions (FMB). Instructions in CASCADE-RS are possible from 16 September 2019.

Stock exchange trades and securities transfers in registered shares of VIB Vermögen AG are first processed on 16 September 2019.

Pending instructions

Securities transfers against payment that are entered CASCADE will be converted. Securities transfers free of payment that are flagged with match status "J" are converted as well.

Note: To ensure a smooth settlement processing, customers must absolutely avoid a manual conversion, especially of matched instructions against payment. CBF will convert securities transfers against payment into the ISIN of the registered shares automatically in the standard processing on 13 September 2019. Modifications and cancellations of instructions in the ISIN of bearer shares are possible at any time until the automatic conversion. It is recommended that instructions in the ISIN of the registered shares are not entered before 16 September 2019.

Unmatched securities transfers free of payment that are stored in CASCADE will automatically be deleted by T2S after 20 business days and must be re-entered by the participants into registered shares, if required.

Registration of shareholders in the share register

The registration of shareholders in the share register of the issuer is implemented via the depository banks by re-registration in CASCADE-RS using the re-registration type "2" ("other not from purchase"). Information on the registration of shareholders in the share register is available in the "Guidelines for banks on entering shareholder data in CASCADE-RS" (Announcement RS137).

Note about submission planning

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be arranged in advance with Client Services. Within the scope of overall coordination, CBF reserves the right to reject file transfers that have not been arranged in advance.

Reimbursement

For re-registrations that are transmitted from 16 September 2019 to 20 September 2019 , CBF charges a discounted price of EUR 0.30 per position. After this time period, CBF customers will be reimbursed accordingly.
