Spin-off of Daimler Truck Holding AG from Daimler AG

Note: This announcement, originally published on 10 December 2021, has been updated to change the end date of the grace period for reimbursement.

The following notification and the information provided are subject to the express proviso that the spin-off is entered in the commercial register of Daimler Truck Holding AG at the Local Court of Stuttgart on 9 December 2021 and is thus effective.

On the evening of 13 December 2021, with value date 

14 December 2021

the allocation of the Daimler Truck Holding AG registered shares to the Daimler AG registered shares at a ratio of 2:1 into the Daimler Truck Holding AG bearer sub-rights (ISIN DE000DTR01T1) will be automatically booked by CBF.

Details on the procedure of the spin-off of Daimler Truck Holding AG will be published in the securities notices.

Involved securities

Exchange of proportional rights into full rights

The exchange of partial rights into full rights and the corresponding re-exchange (for correction purposes only) are possible in the period from 14 December 2021 to 28 December 2021. 

For this purpose, a securities transfer with TR characteristics 3 or 4 must be used.

Registration of the shareholders via re-registration

The full rights will be credited to the free reporting portfolio. The shareholders resulting from the allotment of the Daimler Truck Holding AG registered share (ISIN DE000DTR0CK8) shall be registered in the Company's share register. Corresponding rewrites (KVCU) can be entered by the custodian banks in CASCADE-RS using the rewrite type "2" ("other not from purchase") as of 14 December 2021.

Reimbursement

For rewrites forwarded in the period from 14 December 2021 to 20 December 2021, CBF will charge a reduced price of €0.30 per item. CBF's customers will receive a corresponding refund at the end of the aforementioned period.

Banks that are unable to provide the initial transcription orders resulting from the spin-off during the aforementioned period may inform CBF by e-mail. The e-mail must be sent to registeredshares@clearstream.com, stating the account and the number of rewrites still to be provided later. This grace period for reimbursement ends on 31 December 2021.

Information on submission planning

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be arranged in advance with Client Services. Within the scope of overall coordination, CBF reserves the right to reject file transfers that have not been arranged in advance.
