Capital reduction of TUI AG registered shares at a rate of 10:1

Effective value date 28 February 2022, there will be a capital reduction of TUI AG registered shares (ISIN DE000TUAG000) at a ratio of 10:1 in die TUI AG Inhaberteilrechte (ISIN DE000TUAG1T2).
The relevant processing stages and their sequence are described below.
Re-registration stop from 21 to 28 February 2023
It will not be possible to create and forward re-registration and initial registration instructions in the class of TUI AG registered shares (ISIN DE000TUAG000) in CASCADE-RS between 21 and 28 February 2023. The system will automatically delete re-registration or initial registration instructions that are pending in CASCADE-RS during this period.
Entering and transferring instructions for re-registration or initial registration in the class TUI AG converted registered shares (ISIN DE000TUAG505) is possible starting from 28 February 2023.
Removal of registered shares from the books on 28 February 2023
On 27 February 2023 and in preparation for the removal, Clearstream Banking1 will automatically transfer the registered positions in TUI AG registered shares (ISIN DE000TUAG000) to the unregistered positions (Freier Meldebestand) of the respective bank via position transfer.
Positions in TUI AG registered shares (ISIN DE000TUAG000) will be removed for value date 28 February 2023.
Entry of share fractions on 28 February 2023
The TUI AG fractional rights (ISIN DE000TUAG1T2) will be transferred to the banks at a rate of 10:1 with the value date of 28 February 2023. This means that banks will receive one TUI AG fractional share (ISIN DE000TUAG1T2) for every ten TUI AG registered shares (ISIN DE000TUAG000).
Exchange of share fractions into original shares from 28 February 2023 to 9 March 2023
From 28 February 2023 to 9 March 2023 inclusive, customers may exchange TUI AG fractional rights (ISIN DE000TUAG1T2) into converted shares of TUI AG (ISIN DE000TUAG505). For this purpose, please use the transaction KVEE WE (securities transfer) with the fractional rights indicator TR 3 in CASCADE:

Stock exchange trades, CCP and OTC transactions
Stock exchange and CCP transactions still pending on the evening of 27 February 2023 will be converted automatically, that is, the class of TUI AG (ISIN DE000TUAG000) is converted to TUI AG fractional rights (ISIN DE000TUAG1T2), adjusting the nominal value at a rate of 10:1.
CASCADE OTC transactions will not be converted automatically.
Registration of shareholders via re-registration from 28 February 2023
After the capital reduction, the custodian banks must enter the shareholders of TUI AG converted registered shares (ISIN DE000TUAG505) in the company's share register via re-registration. This will be possible beginning on 28 February 2023. The nominal value after the capital reduction must be used.

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be agreed in advance with Client Services. Clearstream Banking reserves the right to reject file transfers that have not been agreed upon within the scope of overall coordination.
