fox e-mobility AG: Capital reduction of registered shares at a rate of 100:1

Effective value date 4 August 2025, there will be a capital reduction of fox e-mobility AG registered shares (ISIN DE000A3EX222) at a ratio of 100:1 in fox e-mobility AG bearer partial rights (ISIN DE000A40ZV63).
The relevant processing stages and their sequence are described below.
Re-registration stop
It will not be possible to create and forward re-registration and initial registration instructions in fox e-mobility AG registered shares (ISIN DE000A3EX222) in CASCADE-RS from 31 July 2025 until 4 August 2025. The system will automatically delete re-registration or initial registration instructions that are pending in CASCADE-RS during this period.
Entering and transferring instructions for re-registration or initial registration in fox e-mobility AG converted registered shares (ISIN DE000A40ZV71) is possible starting from 4 August 2025.
Removal of registered shares from the books
On 1 August 2025 and in preparation for the removal, Clearstream Banking AG1 will automatically transfer the registered positions in fox e-mobility AG registered shares (ISIN DE000A3EX222) to Freier Meldebestand (FMB, unregistered positions) of the respective bank via position transfer.
Positions in fox e-mobility AG registered shares (ISIN DE000A3EX222) will be removed for value date 4 August 2025.
Entry of share fractions
fox e-mobility AG fractional shares (ISIN DE000A40ZV63) will be transferred to the banks at a rate of 100:1 with the value date of 4 August 2025. This means that banks will receive one fox e-mobility AG fractional share (ISIN DE000A40ZV63) for every hundert fox e-mobility AG registered shares (ISIN DE000A3EX222).
Exchange of share fractions into original shares
From 4 to 25 August 2025, clients may exchange fox e-mobility AG fractional shares (ISIN E000A40ZV63)) into fox e-mobility AG converted registered shares (ISIN DE000A40ZV71). For this purpose, please use the transaction KVEE WE (securities transfer) with the fractional rights indicator TR 3 in CASCADE:

Stock exchange trades, CCP and OTC transactions
Stock exchange and CCP transactions still pending on the evening of 1 August 2025 will be converted automatically, that is, fox e-mobility AG registered shares (ISIN DE000A3EX222) are converted to fox e-mobility AG fractional shares (ISIN DE000A40ZV63), adjusting the nominal value at a rate of 100:1.
CASCADE OTC transactions will not be converted automatically.
Registration of shareholders via re-registration
After the capital reduction, the custodian banks must enter the shareholders of fox e-mobility AG converted registered shares (ISIN DE000A40ZV71) into the company's share register via re-registration. This will be possible from 4 August 2025. The nominal value after the capital reduction must be used.
Note for LIMA users
Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be agreed in advance with Client Services. CBF reserves the right to reject file transfers that have not been agreed upon within the scope of overall coordination.
