Pyramid AG: Capital reduction of registered shares at a rate of 4:1
Effective value date 23 March 2026 , there will be a capital reduction of Pyramid AG registered shares (ISIN DE000A40ZWM7) at a ratio of 4:1 in Pyramid AG bearer partial rights (ISIN DE000A41YDK2).
The relevant processing stages and their sequence are described below.
Re-registration stop
It will not be possible to create and forward re-registration and initial registration instructions in Pyramid AG registered shares (ISIN DE000A40ZWM7) in CASCADE-RS from 19 March 2026 to 23 March 2026 inclusive. The system will automatically delete re-registration or initial registration instructions that are pending in CASCADE-RS during this period.
Entering and transferring instructions for re-registration or initial registration in Pyramid AG converted registered shares (ISIN DE000A41YDL0) is possible from 23 March 2026.
Removal of registered shares from the books
On 20 March 2026 and in preparation for the removal, Clearstream Europe AG1 will automatically transfer the registered positions in Pyramid AG registered shares (ISIN DE000A40ZWM7) to Freier Meldebestand (FMB, unregistered positions) of the respective bank via position transfer.
Positions in Pyramid AG registered shares (ISIN DE000A40ZWM7) will be removed for value date 23 March 2026.
Entry of share fractions
Pyramid AG fractional shares (ISIN DE000A41YDK2) will be transferred to the banks at a rate of 4:1 with the value date of 23 March 2026. This means that banks will receive one Pyramid AG fractional share (ISIN DE000A41YDK2) for every four Pyramid AG registered shares (ISIN DE000A40ZWM7).
Exchange of share fractions into original shares
From 23 March 2026 bis 7 April 2026 inclusive, clients may exchange Pyramid AG fractional shares (ISIN DE000A41YDK2) into Pyramid AG converted registered shares (ISIN DE000A41YDL0). For this purpose, please use the transaction KVEE WE (securities transfer) with the fractional rights indicator TR 3 in CASCADE:

Stock exchange trades, CCP and OTC transactions
Stock exchange and CCP transactions still pending on the evening of 20 March 2026 will be converted automatically, that is, Pyramid AG registered shares (ISIN DE000A40ZWM7) are converted to Pyramid AG fractional shares (ISIN DE000A41YDK2), adjusting the nominal value at a rate of 4:1.
CASCADE OTC transactions will not be converted automatically.
Registration of shareholders via re-registration
After the capital reduction, the custodian banks must enter the shareholders of Pyramid AG converted registered shares (ISIN DE000A41YDL0) into the company's share register via re-registration. This will be possible from 23 March 2026. The nominal value after the capital reduction must be used.

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be agreed in advance with Client Services. CEU reserves the right to reject file transfers that have not been agreed upon within the scope of overall coordination.
