Biofrontera AG: Capital reduction of registered shares at a rate of 21:1
Effective value date 16 May 2024, there will be a capital reduction of Biofrontera AG registered shares (ISIN DE0006046113) at a ratio of 21:1 in Biofrontera AG fractional shares (ISIN DE000A4BGGL9).
The relevant processing stages and their sequence are described below.
Re-registration stop
It will not be possible to create and forward re-registration and initial registration instructions in the class of Biofrontera AG registered shares (ISIN DE0006046113) in CASCADE-RS between 14 May 2024 to 16 May 2024. The system will automatically delete re-registration or initial registration instructions that are pending in CASCADE-RS during this period.
Entering and transferring instructions for re-registration or initial registration in the class Biofrontera AG converted registered shares (ISIN DE000A4BGGM7) is possible starting from 16 May 2024.
Removal of registered shares from the books
On 15 May 2024 and in preparation for the removal, Clearstream Banking AG1 will automatically transfer the registered positions in Biofrontera AG registered shares (ISIN DE0006046113) to Freier Meldebestand (FMB, unregistered positions) of the respective bank via position transfer.
Positions in Biofrontera AG registered shares (ISIN DE0006046113) will be removed for value date 16 May 2024.
Entry of share fractions
The Biofrontera AG fractional rights (ISIN DE000A4BGGL9) will be transferred to the banks at a rate of 21:1 with the value date of 16 May 2024. This means that banks will receive one Biofrontera AG fractional share (ISIN DE0006046113) for every 21 Biofrontera AG registered shares (ISIN DE000A4BGGL9).
Exchange of share fractions into original shares
From 16 May 2024 to 30 May 2024, clients may exchange Biofrontera AG fractional rights (ISIN DE000A4BGGL9) into converted shares of Biofrontera AG (ISIN DE000A4BGGM7). For this purpose, please use the transaction KVEE WE (securities transfer) with the fractional rights indicator TR 3 in CASCADE:

Stock exchange trades, CCP and OTC transactions
Stock exchange and CCP transactions still pending on the evening of 15 May 2024 will be converted automatically, that is, the class of Biofrontera AG (ISIN DE0006046113) is converted to Biofrontera AG fractional rights (ISIN DE000A4BGGL9), adjusting the nominal value at a rate of 21:1.
CASCADE OTC transactions will not be converted automatically.
Registration of shareholders via re-registration
After the capital reduction, the custodian banks must enter the shareholders of Biofrontera AG converted registered shares (ISIN DE000A4BGGM7) in the company's share register via re-registration. This will be possible from 16 May 2024. The nominal value after the capital reduction must be used.

Due to the processing capacities in CASCADE-RS, submissions amounting to 10,000 re-registrations or more per transfer must be agreed in advance with Client Services. CBF reserves the right to reject file transfers that have not been agreed upon within the scope of overall coordination.
