Shareholder meetings

Swiss companies are required to publish the agenda and details of general meetings.

 This publication is mandatory and may be carried out either by the company itself or by an appointed third party.

Shareholders of Bearer Shares wishing to attend a general meeting must generally obtain a confirmation of holding, which is issued upon request by their custodian. The requirement to provide such confirmation is typically specified in the meeting announcement.

For registered shares, there is no obligation for shareholders to maintain permanent registration. However, if shareholders are recorded in the company’s share register, they are usually contacted by the registrar in advance of the meeting and provided with detailed instructions on the participation process, including the necessary steps to exercise their rights.

Proxy voting

Shareholders holding bearer shares may vote and attend Meeting events. For registered shares, the companies generally provide the admittance cards and voting material automatically to shareholders permanently recorded in the share register. Shareholders wishing to participate in a general meeting must be registered in the share register before the securities registration deadline specified in the meeting announcement. Temporary registration for the purpose of attending a meeting is generally possible, provided it is completed before the applicable deadline. Whether registration and voting rights can be exercised at the nominee level or on BO Level only, depends on the company’s articles of association.
